(ii) 규정된 당사자의 보증이나 대리, 인정이 실질적인 측면에서 성립할 당시/그 이후에 부정확해지거나 실패하였을 경우
(iii) 해당 당사자가 파산을 신청하거나, 파산신청 이후 60일의 기간 동안 기각되지 않은 파산선고를 받거나, 수령인, 관리인, 수탁자, 청산인의 지정에 대한 동의, 채권자의 이익을 위한 일반할당이 성립되었을 경우 만약 당사자가 이러한 의무를 위반하였을 경우, 상대방은 위반당사자에게 서면으로 통지함으로써 계약을 종료할 수 있다. 이러한 계약의 종료는 비위반 당사자의 계약상 법적 권리나 치유 및 형평성을 침해하지 않아야 한다.
면책
각 당사자는 계약, 약속, 보증, 대리, 지정 등의 실질적인 위반이나 허위에 기반한 제3자의 소송으로부터 발생한 모든 손실에 대해서 상대방을 보호하고 면책한다. 면책 및 보호의 의무범위는 각 당사자의 사무관, 감독관, 직원, 고용인, 자회사를 포함한다.
분쟁해결
당사자간 상호 합의하에 해결되지 않는 분쟁은 중재를 통하여 해결되어야 한다. 해결되지 않은 분쟁은 미국중재협회에 중재문제로 등록되어야 하고, 미합중국 뉴욕주에서 중재재판이 진행된다. 해당 중재재판은 3명의 중재위원으로 (1) ABC가 지명한 중재위원 (2) 총판이 지정한 중재위원 (3) 위의 2명의 중재위원이 지정한 제3의 중재위원으로 패널을 구성한다. 재판에서, 승소한 당사자는 변호사 선임료를 적절한 범위 내에서 상환 받을 자격이 있다. 그러나, 양 당사자는 중재를 최소비용으로 진행하도록 노력하여야 한다. 만약 이러한 동의가 없다면, 각 중재위원은 법규의 이행과 관련된 법무법인의 파트너로 행동하게 된다.
Translation - English Exclusive Contractor
Each party is an exclusive contractor. No clause in the Agreement shall be interpreted to create a joint-venture, partnership, agency and employment relationship between the parties. Regardless of whether it is expressed or implied, neither parties shall bind the other party in terms of agency, warranty; nor shall it bind the other party with any obligation or hold a right or power to assure such obligations.
Non-waiver
If not separately stipulated before the execution of this Agreement, the parties – in terms of doing business under this Agreement – may exchange trade secrets, information on the suppliers, manufacturers, retailers, individuals, companies, distributors, and ABC’s employees. The parties – including their respective officers, supervisors, proprietors, and members - mutually agree to prohibit doing business or solicit business to customers, employees, subsidiaries, and the other party’s retailers for twelve (12) months after the termination of this Agreement.
Termination by Negligence
If one party commits “Negligence” according to this Agreement,
(i) such party - in terms of observing or performing the obligations under this Agreement, or in failing to perform an essential part thereof, or in breach of an actual obligation – fails to cure such breach or the failure of performing the obligation thirty(30) days after the injured party has notified in writing
(ii) the stipulated party’s warranty, agency, or acceptance has in practical terms become inaccurate or has failed at or after the formation
(iii) such party has applied for bankruptcy or has been declared bankrupt and has not been dismissed of the bankruptcy for sixty (60) days after the application for bankruptcy, in case where the consent of the designation of recipient, administrator, trustee, or liquidator, and the general assignment for the benefit of the creditors has been established, if the party is in breach of such obligation, the injured party may terminate this Agreement by written notice to the party in breach. Such termination of the Agreement shall not infringe the non-breaching party’s legal, remedial or equitable rights.
Waiver
Each party shall protect and waive the other party from damages arising from the actual breach or third-party actions in relation to contracts, promises, warranties, agencies, and designations. The scope of the waiver and protection shall include each party’s officers, supervisors, employees, and subsidiaries.
Dispute Resolution
Disputes not resolved by mutual agreement shall be resolved through arbitration. Unresolved disputes shall be registered at the American Arbitration Association as an arbitration issue; arbitration to be conducted in the State of New York in the United States. Such arbitration will have three (3) arbitrators consisting of: (1) one arbitrator designated by ABC; (2) one arbitrator designated by the Distributor; and (3) one arbitrator designated by the first two arbitrators. The three arbitrators will form a panel. The prevailing party in the dispute shall be entitled to be compensated for reasonable attorneys’ fees. However, each party shall make best efforts to conduct the arbitration with minimum costs. If such consent does not exist, then each arbitrator shall act as a partner from a law firm in terms of executing the law.

(Comment 53) Numerous comments asserted that the proposed rule was too restrictive and requested that we allow more time between collection of the specimen and recovery of the cells or tissue. Comments concerned with the recovery of peripheral blood stem/progenitor cells, where recipient conditioning is performed, suggested a timeframe of 30 days before recovery of the HCT/P. Other comments requested that, for cord blood donors, specimen collection be permitted at any time following the donation; another comment requested 7 days. One comment requested from 30 to 90 days post-donation for specimen collection from a sperm donor, citing expense and natural fluctuations in semen sample parameters. Another comment asserted that the proposed time limits were too restrictive for oocyte donors. Some comments expressed concern that, in the case of cadaveric donors, the regulations would not allow testing of specimens collected before death (premortem specimens). Other comments asserted that the requirements on timing of specimen collection would prohibit the use of pretransfusion samples.
(Response) We agree that more time should be allowed between collection of specimens for testing and HCT/P recovery. The final rule requires a sample at the time of recovery, when feasible. However, if specimen collection at the time of cell or tissue recovery is not feasible, you may collect the specimen up to 7 days before or after recovery. We decline to rely on testing for communicable diseases performed later than 7 days before donation, because the test results would not accurately reflect the donor’s actual disease exposure at the time of donation. Moreover, as the time period between donation and specimen collection increases, the chances of mixups or difficulties with follow-up also increase. An establishment may choose to perform testing before initiating preparatory regimens on the donor (e.g., oocyte donors require hormone stimulation), but that earlier testing would not replace the testing required by this regulation.

Cleaning 사업
세정시기에 의한 분류
건설초기세정:
목적: 신설 보일러 및 Pipe 내면은 튜브 생산에서부터 운반, 저장, 설치 등 이러한 과정에서 밀 스케일(Mill Scale), 녹 (Rust)이 발생된다. 따라서 신설 보일러 초기 화학 세정은 튜브내면의 유지분 제거 (탈지)와 밀스케일 및 녹을 제거 (탈청)하여 유지분의 탄화 스케일을 제거함으로써 본래의 기준 운전(보전관리)으로 최고의 상태로 운전하는 데 시공의 목적이 있다.
가동중세정:
목적: 화력 발전 설비의 운전 신뢰성을 확보하는데 있어 보일러 튜브는 중요한 대상이다. 보일러의 수관벽은 연료의 연소에 의하여 발생하는 열을 관내의 계통수에 전달하고, 보일러 튜브 내면에는 운전시간이 경과됨에 따라 튜브 자체 부식에 의해 생성된 것과 급수 계통에서 유입된 불순물들이 석출되어 스케일로 부착된다. 이를 제거하여 최고의 상태로 운전하는데 시공의 목적이 있다.
세정방법에 의한 분류
침적방법: 세정대상의 크기가 크지 않은 경우 세정액에 일정시간 침적시켜 스케일을 제거하는 방법으로 세정액 농도와 온도유지가 힘들어 높은 세정효과를 가질 수 없으나 세정대상이 순환방식을 할 수 없을 경우 사용하는 방법이다.
순환방법: Tube, 보일러 등 InSide 세정에 주로 사용되는 방법으로 가설배관, 세정펌프 등 세정장비가 필요하지만 다른 방법보다 세정효과가 우수하기 때문에 대부분 내부 세정에는 주로 이 방법을 사용한다.
Jet Cleaning: 대부분의 Tube Out Side에 고착된 스케일을 제거하는 방법으로 고압의 약품용액을 Tube 외면에 분사해 물리적인 방법으로 제거하는 방법이다. 주로 보일러 외면세정, 전기집진기, 열교환기, Pipe 악성스케일 제거에 주로 사용이 된다. 이때 필히 적정한 약품처방으로 부식이 발생하지 않고 방청이 되도록 시공하여야 한다.
시공절차
화학세정은 복합적인 원리의 시한성이 있는 화학반응이기 때문에 자료수집, 설계 과정은 물론 알카리 세정, 산 세정, 중화, 방청공정까지 정밀화학적 및 금속기계공학적 관리가 반드시 되어야 하며 정확한 약품의 당량, 적정 균일유속 적당한 온도에 의해서만 정확한 화학세정의 결과를 기대할 수 있으므로 전문업체의 전문 기술진에 의해 설계와 시공이 이루어지는 것이 바람직하며 그 절차는 다음과 같다.

Classification Based on Cleaning Period
Cleaning Upon Initial Construction Phase
Purpose of the work: Newly manufactured boilers and pipes, during the course of transportation, storage and installation, acquire mill scale and rust. The purpose of this work is to remove the milk fat (fat removal), mill scale and rust, so the carbonized scale will be removed the equipment. This process will ensure that the equipment be maintained and transported in the best condition.
Cleaning During Operation
Purpose of the work: Boiler tubes are essential materials in relation to retaining operation reliability of thermal powered facilities. The internal walls of boiler tubes deliver the heat that is generated in fuel combustion to the inside system waters. As the operation continues, a scale – a combination of substances from the tubes’ corrosion and impurities – is attached to the tubes. The purpose of this work is to remove such scales so that the operation quality is kept at the best level.
Classification Based on Cleaning Method
Sedimentation Method: Used when the volume of the subject for cleaning is not so large. The scale is removed by depositing the cleaning liquid over a certain period. Because it is hard to maintain the cleansing liquid’s concentration and the temperature, the level of the cleansing effect is not so high. It is used where the circulation method cannot be used.
Circulation Method: Commonly used in InSide cleaning of tubes and boilers. Equipment such as ad hoc pipes and cleaning pumps are used. Because it is superior in the cleaning results it is frequently used in inside cleaning.
Jet Cleaning: Mostly used to remove the Tube Out Side scales. The scales are physically removed by spraying the chemical liquid under very high pressure. The method is frequently used in outer surface cleaning of boilers, and removal of malicious scales on electric precipitators, heat exchangers and pipes. Rust prevention work and chemical prescription is mandatory to prevent corrosion.
Construction Process
Because chemical cleaning involves a time-constrained chemical reaction with complex principles, chemical-accurate and metal-based electrical engineering management is need not only in the construction process but also in alkali cleansing, acid cleansing, neutralization and rust prevention work. The construction process requires accurate amount of the right 약품, appropriate temperature to ensure the exact result of chemical cleansing; so planning and construction by professional staff from an experienced company is recommended.
