Définitions
« Droits de propriété intellectuelle » désigne tous droits de brevet, droits d'auteur, secrets commerciaux, savoir-faire et autres droits similaires ou actifs incorporels reconnus en vertu de lois ou de conventions internationales, dans tout pays et dans toute juridiction dans le monde, ainsi que tous les enregistrements actuels et futurs, toutes les applications, toutes les publications d’information, tous les renouvellements, toutes les extensions, toutes les continuations ou rééditions de ce qui précède.
« SoftThinks Backup And Recovery » (« SBAR ») désigne le service propriétaire de sauvegarde et de restauration informatique de SoftThinks.
« Logiciel » désigne le logiciel téléchargeable de SoftThinks qui, lorsqu'il est installé sur un ordinateur, permet au Licencié d'utiliser SBAR pour effectuer des sauvegardes des données présentes sur un ordinateur et de restaurer l'image système d'origine du fabricant, ainsi que toutes les mises à jour et mises à niveau que SBAR peut fournir au Licencié de temps en temps.
1. Licence. Sous réserve que le Licencié se conforme continuellement aux termes de cette Licence, SoftThinks accorde au Licencié, selon les dispositions des Conditions d’Utilisation (les « Conditions SBAR »), disponibles à l’adresse https://www.sbar.com/#/terms_of_service , une licence non exclusive, non cessible, ne pouvant faire l’octroi d’une sous-licence, limitée à :
(i) Installer et utiliser le Logiciel dans le cadre de l’utilisation de SBAR par le Licencié, uniquement de la manière permise par SoftThinks et uniquement à des fins personnelles ou commerciales internes du Licencié ; et
(ii) Utiliser et faire des copies des éléments supplémentaires sous Licence uniquement à des fins personnelles ou commerciales internes du Licencié dans le cadre de l’utilisation du Logiciel.
2. Restrictions de Licence. Sauf dispositions expresses de la présente Licence, le Licencié ne peut, ni ne peut permettre à quiconque, de : (a) décompiler, procéder à une ingénierie inverse, désassembler ou tenter de reconstruire ou de découvrir le code source du logiciel ; (b) altérer, fusionner, éditer, modifier, traduire, adapter de quelque façon que ce soit ou préparer des travaux dérivés basés sur les Éléments sous Licence ; (c) louer, mettre à disposition, prêter, octroyer une sous-licence, distribuer, communiquer ou transférer les Éléments sous Licence ou toute copie de ceux-ci ; (d) utiliser le logiciel selon une exploitation en temps partagé, par le biais d’un bureau de service ou de quelque façon que ce soit au bénéfice d’un tiers ; (e) reproduire, publier, diffuser, transmettre, distribuer, exécuter, afficher, vendre ou exploiter les Éléments sous Licence de quelque façon que ce soit ; ou (f) supprimer, masquer ou modifier toute marque ou toute notification de droits de propriété de SoftThinks.
3. Contenus prohibés. SoftThinks ne contrôle, ne vérifie et n’approuve aucun contenu que vous sauvegardez en utilisant SBAR (« Contenu ») dans le cadre de l’utilisation du Logiciel. Vous déclarez et garantissez que si vous utilisez un Contenu dans le cadre du Logiciel : (i) vous aurez tous les droits sur le Contenu nécessaires pour une utilisation avec le logiciel ; et (ii) la manipulation, le stockage, l’utilisation ou la transmission de Contenu ne violeront aucune loi, aucun règlement et aucune disposition de cette Licence. Vous ne pouvez pas soumettre, télécharger, envoyer ou rendre disponible d’une autre manière un Contenu protégé par le droit d’auteur, par une marque déposée ou par tout autre droit de propriété sans l’autorisation expresse du propriétaire de ces droits d’auteur, de marque ou de ces autres droits de propriété appartenant à un tiers et c’est à vous que revient la charge de la preuve pour déterminer si un élément est protégé par un tel droit. Vous serez seul responsable de tout dommage résultant de toute violation de droits de propriété, d’auteur, de marque ou de brevet, de toute violation de contrat, de droits à la vie privée, de droits de publicité ainsi que de tout autre préjudice résultant de tout Contenu. Vous acceptez de ne pas fournir, mettre à disposition ou transmettre de Contenu pour un usage avec le Logiciel qui : (i) est en violation de confidentialité ou de vos obligations en matière de protection des données personnelles, ou de celles d’un tiers ; (ii) encourage ou constitue une conduite qui serait considérée comme une infraction pénale, donne lieu à une responsabilité civile, ou est d’une autre manière contraire à la loi dans quelque juridiction que ce soit ; (iii) est nocif pour les logiciels ou les matériels, y compris, et sans limitation, les virus informatiques, les chevaux de Troie, les données corrompues, ou d’autres technologies, du code ou des données ; ou (iv) viole les droits de propriété intellectuelle de tiers.
4. Utilisation du Logiciel : Utilisation Acceptable. Lors de l’utilisation du Logiciel, vous acceptez de ne pas : (i) nuire à autrui, vous livrer à une activité illégale ou frauduleuse, propager un canular, vous livrer à l’hameçonnage, à la contrefaçon ou à toute autre manière semblable de manipuler ou de falsifier des données ; (ii) endommager, désactiver, surcharger ou détériorer le Logiciel ou tout autre logiciel ou service avec lequel le Logiciel interagit (y compris SBAR) ; (iii) utiliser un moyen non autorisé pour modifier, réacheminer, ou accéder à SBAR ; (iv) utiliser un processus ou un service automatisé pour accéder à SBAR ou l’utiliser ; (v) abuser, harceler, traquer ou violer d’une autre manière les droits légaux d’un tiers ; ou (vi) partager des mots de passe ou d’autres informations d’accès ou des dispositifs ou permettre d’une autre manière à un tiers d’accéder à SBAR ou de l’utiliser.
SoftThinks se réserve le droit, mais sans aucune obligation, de suspendre votre capacité à utiliser SBAR si vous ne respectez pas ces interdictions. SoftThinks peut signaler aux autorités judiciaires toute action qui pourrait être illégale et communiquer tout rapport qu’il reçoit faisant part d’un tel comportement. Lorsque la loi l’exige ou à la discrétion de SoftThinks, SoftThinks coopérera avec les instances judiciaires dans toute enquête sur une activité illégale présumée.

7. Indemnisation. Le Licencié devra indemniser, défendre et garantir SoftThinks ou l’un de ses dirigeants, administrateurs, employés, agents ou affiliés (collectivement, les « Indemnitaires de SoftThinks ») contre les coûts, dommages, responsabilités et dépenses (y compris les honoraires et frais d’avocats de la défense) que ces Indemnitaires de SoftThinks subissent par rapport à, découlant de, ou dans le but d’éviter, toute réclamation ou demande d’un tiers (« Réclamation »), concernant ou découlant de l’utilisation par le Licencié des Éléments sous Licence autre que celle autorisée en vertu de cette Licence. Nonobstant toute disposition contraire, le Licencié ne peut consentir à aucun règlement ou compromis, ou à l’inscription d’un jugement, à l’égard de toute Réclamation d’un tiers sans le consentement écrit préalable de SoftThinks (lequel consentement ne peut être indûment refusé, retardé ou conditionné).
8. Maintenance et Support. SoftThinks n’est pas tenu de fournir des mises à jour, des améliorations, une maintenance, un support technique ou autre, pour les Éléments sous Licence, sauf si le Licencié a acheté un plan de support spécifique qui peut être ou ne pas être inclus dans un forfait premium.
9. Durée et Résiliation. Le Licencié peut résilier cette Licence à tout moment en cessant d’utiliser le Logiciel et en détruisant toutes les copies des Éléments sous Licence en sa possession et sous son contrôle. SoftThinks peut, après notification au Licencié, mettre fin à cette Licence et au droit accordé au Licencié d’utiliser les Éléments sous Licence si SoftThinks cesse d’offrir le service SBAR à ses clients ou si le Licencié viole l’un des termes de la présente Licence ou les Conditions SBAR. Dans un tel cas, le Licencié doit détruire toutes les copies du Logiciel en sa possession ou sous son contrôle. Les articles 3, 4, 7, 8, 10, 11, 12, 13 et 14 resteront en vigueur après la résiliation.
10. Droits de Propriété Intellectuelle. À l’exception des droits limités accordés au Licencié en vertu du paragraphe 2 ci-dessus, SoftThinks, ses concédants et ses fournisseurs conservent tous droits, titres et intérêts sur les Éléments sous Licence, y compris tous les droits de propriété intellectuelle inclus et afférents. Le Licencié ne doit rien faire qui soit incompatible avec la propriété de SoftThinks sur les Éléments sous Licence ou avec les droits de propriété intellectuelle énoncés ici, y compris, mais sans s’y limiter, le transfert, le prêt, la vente, l’attribution, la mise en gage, ou le fait de disposer autrement, de grever, ou d’être soumis à un privilège ou à une charge pesant sur un intérêt dans des Éléments sous Licence. SoftThinks se réserve tous les droits non expressément accordés dans la présente Licence.
11. Retour d’information. Si le Licencié ou tout employé, prestataire ou agent du Licencié envoie ou transmet des communications ou des éléments à SoftThinks par courrier, courrier électronique, téléphone ou par un autre moyen (« Retour d’information »), suggérant ou recommandant des changements à tout Élément sous Licence, y compris, sans limitation, de nouvelles caractéristiques ou fonctionnalités qui s’y rapportent, ou des commentaires, des questions, des suggestions, ou similaires, tous ces Retours d’Information sont et seront traités comme non confidentiels et non exclusifs. Le Licencié cède en son nom, et au nom de ses employés, prestataires ou agents, tout droit, titre et intérêt et SoftThinks est libre d’utiliser, sans aucune rétribution ou compensation à aucune partie, toutes les idées, savoir-faire, concepts, techniques et tous autres droits de propriété intellectuelle contenus dans le retour d’information, à quelque fin que ce soit. Néanmoins, SoftThinks n’est pas tenu d’utiliser un retour d’information.
12. Communications électroniques. Le Licencié consent par la présente à recevoir des communications électroniques de SoftThinks. Ces communications électroniques peuvent comprendre des notifications sur les frais et les charges applicables, des informations transactionnelles et d’autres informations concernant ou en rapport avec les Éléments sous Licence. Le Licencié accepte que tous les avis, les accords, les publications et les autres communications que SoftThinks envoie au Licencié par voie électronique satisfassent toutes les exigences d’une communication juridique, y compris le fait que ces communications soient par écrit.
13. Dispositions générales. Les parties aux présentes sont des contractants indépendants. Le Licencié est tenu de respecter toutes les lois locales, nationales, fédérales et internationales, toutes les règles, règlements et ordonnances applicables à l’utilisation par le Licencié des Éléments sous Licence. Si ce n’est au bénéfice d’une filiale ou dans le cadre d’une fusion, d’une acquisition ou de la vente de la totalité ou la quasi-totalité des actifs du Licencié, le Licencié ne peut céder, déléguer ou transférer ses droits ou obligations en vertu de cette Licence sans le consentement écrit préalable de SoftThinks et toute cession présumée ou tentative de cession en violation de ce qui précède est nulle et non avenue. Cette licence sera régie et interprétée conformément aux lois de l’État de Californie sans égard pour tout conflit de principes légaux qui exigerait l’application des lois d’une autre juridiction. La Convention des Nations Unies sur les contrats de vente internationale de marchandises, ainsi que toute loi fondée sur la loi américaine sur l’uniformisation des transactions informatiques (Uniform Computer Information Transactions Act), ne sont pas applicables à la présente Licence. Definities
« Intellectuele eigendomsrechten » betekent alle rechten van octrooi, auteursrechten, bedrijfsgeheimen, knowhow en andere soortgelijke rechten of immateriële activa, erkend krachtens de wet of internationale verdragen, in alle landen en in elke jurisdictie overal ter wereld, alsook alle huidige en toekomstige registraties, alle informatiepublicaties, alle vernieuwingen, alle uitbreidingen, alle voortzettingen of heruitgaven van het voorgaande.

3. Verboden inhoud. SoftThinks voert geen controle, verificatie of goedkeuring uit op eender welke inhoud die u bewaart door SBAR (« Inhoud ») te gebruiken in het kader van het gebruik van de Software. U verklaart en garandeert dat wanneer u een Inhoud gebruikt in het kader van de Software: (i) dat u alle nodige rechten hebt op de Inhoud om met de software te gebruiken; en (ii) dat de manipulatie, het bewaren, het gebruiken of de overdracht van de Inhoud niet indruist tegen een wet, verordening en een bepaling van deze Licentie. Bij het gebruik van de Software, aanvaardt u om niet: (i) aan anderen schade toe te brengen, een illegale of frauduleuze activiteit uit te voeren, een hoax te verspreiden, phising of namaak te verrichten, of op eender welke manier gegevens te manipuleren of te vervalsen; (ii) de Software en elke andere software of dienst met dewelke de Software compatibel is (hierbij inbegrepen SBAR) te beschadigen, uit te schakelen, te overbelasten of te vernietigen; (iii) een niet geoorloofd middel te gebruiken om SBAR te wijzigen, om te leiden of er zich toegang tot te verschaffen; (iv) een proces of een geautomatiseerde dienst te gebruiken om toegang te krijgen tot SBAR of het te gebruiken; (v) de wettelijke rechten van een derde te misbruiken, te stalken, te belagen of anderszins te schenden; of (vi) paswoorden, andere toegangsinformatie of instrumenten te delen of een derde anderszins de mogelijkheid te bieden om toegang te krijgen tot SBAR of het te gebruiken.
SoftThinks behoudt zich het recht voor, maar zonder enige verplichting, om uw mogelijkheid om SBAR te gebruiken op te schorten als u zich niet aan deze verbodsbepalingen houdt. SoftThinks kan elke actie, die mogelijks illegaal kan zijn, aan de juridische autoriteiten melden en elk verband dat het ontvangt, en deel uitmaakt van een dergelijk gedrag, rapporteren. 7. Schadevergoeding De licentiehouder zal SoftThinks of een van zijn bestuurders, zaakwaarnemers, bedienden, agenten of filiaalhouders (collectief, de « Schadeloosgestelden van SoftThinks ») schadeloos stellen, beschermen en vrijwaren van de kosten, schades, verantwoordelijkheden en onkosten (daarbij inbegrepen de honoraria en de erelonen van de advocaat van de verdediging) die de Schadeloosgestelden van SoftThinks ondergaan met betrekking tot of voortvloeiend uit een klacht (« Klacht »), of met als doel elke klacht of eis van een derde te vermijden, met betrekking tot of voortvloeiend uit het onrechtmatig gebruik door de Licentiehouder van Gelicentieerde Elementen, anders dan toegestaan uit hoofde van deze Licentie. Niettegenstaande eventuele andersluidende bepalingen, kan de Licentiehouder niet instemmen met een schikking of compromis, of een rechtbankprocedure, ten opzichte van elke Klacht van een derde, zonder voorafgaande schriftelijke instemming van SoftThinks (wiens instemming niet ten onrechte kan worden geweigerd, uitgesteld of aan voorwaarden onderworpen zijn).
8. Onderhoud en Ondersteuning. SoftThinks is niet verplicht om updates, verbeteringen, een onderhoud, een technische ondersteuning of andere te geven voor de Gelicentieerde Elementen, behalve wanneer de Licentiehouder een specifiek ondersteuningsplan heeft aangekocht dat al dan niet in een premium forfait kan zijn vervat.
9. Looptijd en Opzegging De Licentiehouder kan op elk moment de Licentie opzeggen door het gebruik van de Software stop te zetten en alle Gelicentieerde Elementen te vernietigen, die in zijn bezit en onder zijn controle zijn. SoftThinks kan, na kennisgeving aan de Licentiehouder, deze Licentie en het recht dat toegekend is aan de Licentiehouder om de Gelicentieerde Elementen te gebruiken, beëindigen als SoftThinks stopt met het leveren van de SBAR dienst aan zijn klanten of als de Licentiehouder een van de voorwaarden van deze Licentie of van de SBAR voorwaarden geschonden heeft. In dat geval moet de Licentiehouder alle kopieën vernietigen van de Software die hij in zijn bezit heeft of onder zijn controle zijn. De artikels 3, 4, 7, 8, 10, 11, 12, 13 en 14 blijven geldig na de opzegging.
10. Intellectueel Eigendomsrecht. Met uitzondering van de beperkte rechten die aan de Licentiehouder zijn toegekend op grond van paragraaf 2 hierboven, zal SoftThinks, zijn licentieverstrekkers en zijn leveranciers, zich alle rechten, aanspraken en belangen voorbehouden op de Gelicentieerde Elementen, inclusief alle inbegrepen en bijhorende intellectuele eigendomsrechten. De Licentiehouder mag niets ondernemen wat niet strookt met het eigendom van Softthinks op de Gelicentieerde Elementen of met de rechten op het intellectueel eigendom, zoals hier uitgedrukt, met inbegrip van, maar zonder beperking, de overdracht, het uitlenen, het verkopen, het toewijzen, het belenen, of het op elke andere wijze belasten, bezwaren of het onderwerpen aan een voorrecht of aan lasten op een belang van de Gelicentieerde Elementen. SoftThinks behoudt zich alle rechten voor die niet uitdrukkelijk in deze Licentie zijn vermeld.
11. Feedback. Als de Licentiehouder of de werknemer, dienstverlener of agent van de Licentiehouder berichten of elementen naar SoftThinks verstuurt of overmaakt, per brief, e-mail, telefoon of op een andere wijze (« Feedback ») en daarbij veranderingen aan een Gelicentieerd Element voorstelt of aanbeveelt, met inbegrip van, maar zonder beperking, van nieuwe kenmerken of functies die hierop betrekking hebben of opmerkingen, vragen, voorstellen of dergelijke, dan zal deze Feedback als niet-vertrouwelijk en niet-exclusief behandeld worden. De Licentiehouder doet afstand in zijn naam en in naam van zijn werknemers, dienstverleners of agenten van alle rechten, aanspraken en belangen en het staat SoftThinks vrij om, zonder enige beloning of vergoeding aan derden, gebruik te maken van alle ideeën, knowhow, concepten, technieken en alle andere intellectuele eigendomsrechten die zich in de feedback bevinden, en dit voor welk doel dan ook. Niettemin is SoftThinks niet verplicht om de feedback te gebruiken.
12. Elektronische communicatie De Licentiehouder stemt bij deze in om elektronische communicatie van SoftThinks te ontvangen. Deze elektronische communicaties kunnen kennisgevingen bevatten over de toepasbare kosten en lasten, informatie over compromissen en andere informatie met betrekking tot de Gelicentieerde Elementen. De Licentiehouder accepteert dat alle berichten, overeenkomsten, publicaties en andere communicatie die SoftThinks de Licentiehouder elektronisch stuurt voldoen aan alle juridische eisen inzake communicatie, met inbegrip van het feit dat deze communicaties schriftelijk moeten zijn.
13. Algemene beschikkingen De hier betrokken partijen zijn onafhankelijke contractanten. De Licentiehouder is verplicht om alle lokale, nationale, federale en internationale wetten te respecteren, alsook alle regels, voorschriften en verordeningen die toepasbaar zijn op het gebruik van de Gelicentieerde Elementen door de Licentiehouder. Indien het ten voordele van een dochteronderneming is, of in het kader van een fusie, acquisitie of verkoop van een deel of van de totaliteit van het activa van de Licentiehouder, zal de Licentiehouder zijn rechten en verplichtingen uit hoofde van deze Licentie niet kunnen afstaan, delegeren of overdragen zonder de voorafgaande schriftelijke toestemming van SoftThinks en elke vermoedelijke overdacht of poging tot overdracht is in strijd met het voorgaande en bijgevolg nietig.
